Incorporation of a Dutch BV
The Dutch version of a limited liability company is named a BV (Besloten Vennootschap). This can be a corporation where the shareholders are only (financially) liable for their investment within the company, and not liable in person or private for any debts and keeps them safe from creditors in case of a bankruptcy. This is one of the main reasons foreigners choose this entity when starting a business in The Netherlands.
Requirements for setting up a Dutch BV
The Dutch Limited Liability Company must have one or more founders. The shareholders can be individuals or legal entities like (foreign)companies. The new law in The Netherlands allows BV’s to have one shareholder who can also act as manager. One of the advantages of the Dutch BV is that it requires a minimum share capital of € 0,01 per share. The Company Act only required the founder to issue one share with a voting right. An other requirement for the BV is to have a registered legal address in the Netherlands.
Before the Dutch limited liability company can be registered, a deed of incorporation and the articles of association must be drafted before a public notary. The deed(s) will be in Dutch and contain information about the shareholders, the board, the legal address and the authorized share capital. The articles of association must also contain a brief description of the business activities you will have with your Dutch BV.
